Normal Secretarial Services
We provide the following services :
- Document the Annual General Meeting and preparation of the Annual Return.
- Effect a reasonable number of the changes in the Board of Directors and particulars of directors e.g. address, etc.
- Attend to routine matters covering changes of bank signatories, registered office, etc.
- Lodge all statutory returns with the Registrar of Companies and Businesses.
- Advise in various corporate matters and statutory requirements in relation to the aforesaid matters.
- The custody and control over the common seal.
- The custody and maintenance of the minutes of the directors and shareholders.
Incorporation of Companies
The formation of a private limited company required certain compliance with the legal requirements in accordance with the Singapore Companies Act.
A private limited company, as distinguished from a partnership or a sole-trader, is an incorporated company, which enjoys certain advantages such as separate legal entity ie. the company is itself a separate person from its shareholders; limited in the sense that the liability of the company does not extend to its shareholders and perpetual succession in that the death of a member will not affect the continuance of the company. It is on the other hand not allowed to make any public offer of its shares and has restricted rights of transferring of it shares by the shareholders.
In order to form a private limited company, the following requirements must be adhered to:
- The minimum number of member is ONE with a maximum of FIFTY for a private company.
- The minimum issued share capital is ONE (usually $1 each) taken up by a member each.
- The company so formed must have at least ONE Director, whom must be an ordinarily resident in Singapore.
- There must be at least ONE Company Secretary qualified under Section 171(1AA) of the Companies Act.
- The company will be subject to Income Tax at a flat rate of 18% (W.e.f. YA 2008) on its taxable income and 22% for Y/A 2004.
With regards to employing of foreigners, persons who are neither citizens nor permanent residents will require an employment pass or a professional visit pass; and non-citizens who are not permanent residents, earning not more that $2,000 per month will require a work permit under the Employment Act.
Employment Pass
Our fee in respect of the application of employment pass including preparation documents and attending to the Immigration Department and dealing with queries, etc.

Entre Pass
We wish to inform you that our fee in respect of the application of ‘ENTREPASS’ including preparation documents and attending to the Immigration Department and dealing with queries, etc.

Permanant Residence
Professional services rendered in respect of the application of Permanent Residence include holding of initial meetings with you regarding the application, preparing documents and attending to the Immigration Department and dealing with queries, etc is range from:
Initial deposit - *$5,000 – $10,000 * Depending on the scheme in which your permanent residence has been granted.
Nominee Non-Executive Director
To act as nominee directors for foreigners intending to incorporate companies, but who are short of a local director. This is part of the value added services to tap foreigners’ incorporating companies in Singapore.
Nominee Shareholder
The Annual charge for the provision of a Nominee Shareholder is $2,000, to hold in trust for the beneficial owners of the company. A Nominee Shareholder shall pre-signed a copy of blank share transfer form and a letter of confirmation to deliver the beneficial owner for safekeeping.
Registered Office Address
All official and legal documents from the Court, the Inland Revenue or Registry of Companies are usually sent to this address. The registered address does not have to be the address where the business is trading.
